Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and xchangr8 ("xchangr8", "we", or "us") governing your access to and use of the xchangr8 API, website at xchangr8.com, and all related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

1Acceptance of Terms

By registering for an account, obtaining an API key, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and "you" shall refer to that organisation.

If you do not agree to these Terms, you must not use the Service. We reserve the right to update these Terms at any time. Continued use after notification of changes constitutes acceptance.

2API License

Subject to your compliance with these Terms and payment of applicable fees, xchangr8 grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the API as follows:

• Personal use — Free and Starter plan users may use API data in personal projects, internal tools, and non-commercial applications.
• Commercial use — All plans, including Free, permit use in commercial applications (websites, apps, SaaS products) provided the underlying exchange rate data is not the primary commercial offering.
• No resale of raw data — You may not resell, sublicense, redistribute, or make available the raw exchange rate data returned by the API as a standalone data product or feed, on any plan. Derived calculations, charts, or application features built on top of the data are permitted.
• Attribution — We do not require public attribution, but we appreciate it. "Powered by xchangr8" with a link to xchangr8.com is welcomed but not mandatory.

3Prohibited Uses

The following uses of the Service are strictly prohibited:

• Data resale — Scraping, bulk-downloading, or otherwise extracting API responses for the purpose of reselling or redistributing raw exchange rate data to third parties.
• Excessive caching beyond plan limits — Caching rate data for longer than 24 hours is prohibited on Free and Starter plans. Pro and Enterprise plans may cache up to 7 days. Circumventing these limits to reduce API calls while benefiting from a lower-tier plan is a breach of these Terms.
• Reverse engineering — Attempting to reverse engineer, decompile, or derive the source code or underlying data sources of the API.
• Abuse and scraping — Using automated tools to scrape the xchangr8 website or API beyond the documented endpoints, or in a manner designed to circumvent rate limits.
• Unlawful use — Using the Service for any purpose that violates applicable laws, regulations, or third-party rights.
• Misrepresentation — Claiming that your product or service is affiliated with, endorsed by, or operated by xchangr8.
• Account sharing — Sharing API keys across multiple organisations or customers without an Enterprise plan authorising such use.

4Rate Limits and Fair Use

All plans are subject to rate limits to ensure fair access and service reliability for all users:

• Free plan — 10,000 requests per month. No overage; requests are blocked once the limit is reached until the next calendar month.
• Starter plan — 500,000 requests per month. Soft cap: usage significantly above 500,000 may result in a request to upgrade.
• Pro plan — Unlimited requests, subject to a per-second rate limit of 1,000 requests/second. Sustained traffic above this may require an Enterprise agreement.
• Enterprise plan — Custom limits as agreed in your Enterprise contract.

We reserve the right to throttle or suspend access if usage patterns suggest abuse, automated scraping, or activity inconsistent with these Terms, regardless of whether the stated monthly limit has been reached.

Rate limit headers (X-RateLimit-Limit, X-RateLimit-Remaining, X-RateLimit-Reset) are returned with every API response to help you manage your usage.

5Billing and Refunds

Paid plans are billed monthly in advance:

• Monthly subscription — Charges are applied at the start of each billing cycle. Your plan renews automatically unless cancelled before the renewal date.
• 7-day free trial — New Starter and Pro accounts receive a 7-day free trial. No charges are made during the trial period. Providing payment details is required to activate the trial; you will be charged at the start of the first paid cycle unless you cancel before the trial ends.
• No partial refunds — Subscription fees are non-refundable. If you cancel mid-cycle, your access continues until the end of the billing period and no partial refund is issued. If you experience a service failure that breaches our SLA (see Section 6), you may be eligible for service credits at our discretion.
• Upgrades — Plan upgrades take effect immediately and are prorated for the remainder of the billing cycle.
• Downgrades — Plan downgrades take effect at the start of the next billing cycle.
• Currency — All prices are in USD unless otherwise stated.

Billing is processed by Stripe. By providing payment details, you authorise xchangr8 to charge the applicable fees to your payment method on a recurring basis until cancellation.

6Service Level Agreement (SLA)

We are committed to maintaining a reliable service. Our uptime commitments are as follows:

• Pro and Enterprise plans — We target 99.9% API uptime per calendar month, excluding scheduled maintenance windows (communicated at least 24 hours in advance) and events beyond our reasonable control (force majeure). If monthly uptime falls below 99.9%, you may request a service credit equal to 10% of your monthly fee for each full percentage point below the target.
• Free and Starter plans — Provided on a best-effort basis with no uptime guarantee. We aim for the same high availability but do not offer SLA credits for these plans.

Uptime is measured by our internal monitoring and Cloudflare infrastructure logs. Service credits must be requested within 30 days of the incident by emailing hello@xchangr8.com. Credits are applied to future billing cycles and are not redeemable for cash.

7Intellectual Property

All intellectual property rights in the Service, including the API software, website, documentation, branding, and exchange rate aggregation methodology, are owned by xchangr8 or our licensors. These Terms do not transfer any ownership rights to you.

The underlying exchange rate data is sourced from third-party providers (ECB, FRED, Currencybeacon, FastForex) and is subject to their respective terms. Raw data points (currency codes, numeric rates) are factual and not copyrightable; however, our compiled database, API response structure, and aggregation logic are proprietary.

You retain all intellectual property rights in your own applications and products built using the Service, provided they comply with these Terms.

8Limitation of Liability

To the maximum extent permitted by applicable law:

• xchangr8 provides the Service "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy of exchange rate data.
• xchangr8 does not warrant that exchange rate data is suitable for financial transactions, trading decisions, regulatory compliance, or any other specific purpose. Exchange rates are indicative only.
• In no event shall xchangr8's total liability to you for any claims arising from or related to these Terms or the Service exceed the greater of (a) the total fees paid by you to xchangr8 in the three months preceding the claim, or (b) AUD $100.
• xchangr8 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain liabilities. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

9Termination

Termination by you: You may cancel your account at any time via your account dashboard or by emailing hello@xchangr8.com. Cancellation takes effect at the end of the current billing cycle. Your API key will be deactivated and data deleted in accordance with our Privacy Policy.

Termination by xchangr8: We reserve the right to suspend or terminate your account and API access, with or without notice, if:

• You breach any provision of these Terms;
• Your usage constitutes abuse, fraud, or poses a security risk to the Service or other users;
• Payment fails and is not remedied within 7 days of notice;
• We are required to do so by law or regulatory order.

Upon termination for cause, no refund of prepaid fees will be issued. Upon termination by you or by us without cause, prepaid unused fees for the remainder of the billing cycle are non-refundable but access continues until the cycle ends.

Sections 7 (Intellectual Property), 8 (Limitation of Liability), and 10 (Governing Law) survive termination.

10Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law principles.

Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. If you are a consumer in the European Union or United Kingdom, mandatory consumer protection laws of your country of residence may also apply.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of not less than 30 days.
